Byron Bay Beach Life — Terms of Supply

1. Wholesale Accounts & Approval

• Wholesale accounts are available to legitimate retail businesses. You must hold a valid ABN and provide accurate business details on application.
• All applications are reviewed and approved at our discretion. We may decline any application without giving reasons.
• Approval grants access to our online wholesale ordering portal, where current wholesale pricing and stock are displayed.
• You are responsible for keeping your account login secure and for all orders placed through your account.

2. Orders & Minimums

• Orders are placed through our online wholesale portal.
• A minimum opening order of $1,000 (ex-GST) applies to your first order.
• A minimum reorder value of $500 (ex-GST) applies to subsequent orders.
• All wholesale prices are quoted exclusive of GST. GST is calculated and added at checkout, and a valid tax invoice is issued.
• All orders are subject to acceptance by us and to stock availability. We may decline or cancel an order and refund any payment where stock is unavailable.

3. Pricing

• Wholesale prices are those displayed in the portal at the time of order and may change from time to time. Changes do not affect orders already accepted.
• Our published recommended retail prices (RRP) are set to match the price charged to consumers on byronbaybeachlife.com.au, so that our retail partners and our own website offer consumers a consistent price.
• We provide the RRP as a recommendation to support consistent brand positioning across all stockists. You remain free to determine your own retail selling price.

4. Payment

• Payment is required in full at the time of ordering (100% upfront), paid online by card through our Shopify wholesale portal. We do not offer credit accounts, invoicing or payment terms.
• Orders are only processed once payment has been received and cleared in full.
• Title to goods remains with BBBL until payment is received in full and cleared.
• Risk in the goods passes to you on delivery to your nominated address.

5. Freight & Delivery

• Freight is charged to you at cost as a pass-through and is added to your order at checkout. Estimated freight is currently calculated at approximately 15% of order value.
• Orders are dispatched through our third-party logistics provider. Estimated dispatch and delivery timeframes are indicative only and not guaranteed.
• You are responsible for providing accurate delivery details. Re-delivery or redirection costs arising from incorrect details may be charged to you.

6. Approved Sales Channels & Advertising

To protect the brand and maintain a consistent experience for consumers, the following apply to how you promote and sell BBBL products:

• Approved channels: you may sell BBBL products through your own physical retail premises and your own branded website. Any other channel requires our prior written approval.
• Third-party marketplaces (including but not limited to Amazon, eBay, Catch and similar) are not approved channels without our prior written consent.
• You must not bid on, or purchase as keywords, the "Byron Bay Beach Life" name, our trading names, or our product names in any paid search, shopping or advertising platform (including Google Ads and Google Shopping).
• You must not run paid search or shopping advertising on BBBL products without our prior written approval.
• You must not use our brand, logos or imagery in a way that implies a partnership, endorsement or relationship beyond being an approved stockist, or alter our imagery or branding.

7. Intellectual Property & Brand Use

• We grant you a limited, non-exclusive, revocable right to use our product images, descriptions and brand name solely to market and sell the BBBL products you have purchased.
• This right ends if your wholesale account is closed or suspended. All intellectual property remains owned by BBBL.

8. Returns, Faults & Consumer Guarantees

• Faulty or damaged goods: notify us within 7 days of receipt, with details and photographs. We will replace or refund verified faulty or damaged items.
• Change-of-mind returns are not accepted on wholesale orders.
• Claims for shortages or incorrect items must be made within 7 days of receipt.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law that cannot lawfully be excluded. Our obligations under these Terms are in addition to those rights.

9. Stock & Availability

• Product availability is not guaranteed. We may place items on back-order or refund unavailable items at our discretion.
• We may add, change or discontinue products in the wholesale range at any time.

10. Suspension & Termination of Supply

• We may suspend, decline or stop supply to any Retailer at any time, at our sole discretion, including (without limitation) where a Retailer breaches these Terms, sells through unapproved channels, or acts in a way we consider damaging to the brand.
• We may close or suspend a wholesale account at our discretion. Any orders already paid for and accepted will be honoured or refunded.

11. Limitation of Liability

To the maximum extent permitted by law, and subject to the Australian Consumer Law, our total liability to you arising out of or in connection with the supply of goods is limited, at our option, to the replacement of the goods or the resupply, repair or refund of the price paid for the affected goods. We are not liable for indirect or consequential loss.

12. General

• These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
• We may update these Terms from time to time. The version in force at the time of your order applies.
• If any provision is found unenforceable, the remaining provisions continue in force.
